When you choose to engage our services — whether in development, digital marketing, branding, virtual assistance, or consultation — a formal Service Agreement or Proposal will be presented, outlining scope, deliverables, timelines, and payment terms.

By signing or accepting a service quote/proposal, you agree to:

  • Provide complete and accurate information.
  • Make timely payments as agreed.
  • Cooperate throughout the project duration.

Failure to comply may result in service delays or termination.

4. Payments & Pricing

  • All prices are provided in INR (₹) or USD ($) and are subject to applicable GST or international taxes.
  • Payments must be made according to the invoicing cycle (monthly, quarterly, or as per agreement).
  • In case of payment delays beyond 7 business days, we reserve the right to pause or terminate services.
  • All payments made are non-refundable, except where clearly stated in the Refund Policy.

5. Intellectual Property Rights

Unless otherwise stated:

  • All content, source code, designs, graphics, and deliverables developed by VD Infotech remain the property of VD Infotech until full payment is made.
  • Upon full payment, rights to approved deliverables transfer to the client, unless specified otherwise in the contract.
  • Unauthorized reproduction, duplication, or distribution of our intellectual property is strictly prohibited.

6. Client Responsibilities

Clients are expected to:

  • Provide clear project requirements.
  • Review and approve work within agreed timeframes.
  • Notify of any issues or feedback promptly.
  • Not misuse the services for unlawful purposes.

We reserve the right to terminate any partnership if we find the client misusing our services, engaging in fraudulent activity, or violating ethical standards.

7. Confidentiality & Data Security

Both parties agree to:

  • Maintain confidentiality of sensitive business data.
  • Not disclose project details or shared information to third parties without consent.
  • Respect GDPR and data privacy laws where applicable.

We follow strict protocols for data protection and server security. However, we cannot guarantee absolute protection against unforeseen cyber incidents or third-party breaches.

8. Third-Party Services

We may use third-party tools or platforms (e.g., Google Ads, Facebook, AWS, payment gateways) to deliver services. While we aim to partner with reliable providers, we are not liable for:

  • Downtime, service interruptions, or updates from third-party platforms.
  • Pricing or policy changes by third parties.
  • Suspension of client accounts by those platforms due to policy violations.

Clients must adhere to the T&Cs of any third-party platform their project uses.

9. Warranties & Limitations

VD Infotech provides services “as is” and “as available”. While we strive to ensure accuracy, uptime, and performance, we:

  • Do not warrant 100% error-free, uninterrupted service.
  • Are not liable for direct or indirect loss of profits, business interruption, or data loss.
  • Cannot guarantee specific results from digital marketing or SEO services due to external algorithm and market factors.

10. Amendments to Terms

We reserve the right to revise or update these Terms at any time without prior notice. Changes will be effective upon posting on our website. We encourage you to review this page periodically.

Your continued use of the website and services following any updates implies your acceptance of the revised terms.

11. Termination

We may suspend or terminate your access to services:

  • If you breach any Terms.
  • In cases of fraud, non-payment, or legal obligations.
  • For misuse, misconduct, or unethical practices.

In such cases, you may lose access to data, files, or deliverables stored with us. It’s your responsibility to maintain local backups.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India, and any disputes shall be resolved under the jurisdiction of the courts located in Gurugram, Haryana, India.
